General Terms and Conditions

These reviewed terms are currently available in English. The Privacy Policy is a separate document.

1. INTRODUCTION

1.1 SayHello, operated by SAY HELLO - FZCO, a company incorporated and registered in the Emirate of Dubai, United Arab Emirates under trade licence number 89628 (“SayHello”, “we”, “us” or “our”), operates the SayHello website located at www.SayHelloJobs.com (“Website”) and the SayHello mobile application(s) available for download (“Apps”), collectively referred to as the “Platform”. References to “you”, “your” or “User” are references to the person(s) and/or business entity accessing or using the Platform, whether or not they have registered an Account, and include both Candidates and Employers, each as defined at Clause 3 below.

1.2 These General Terms and Conditions (“General Terms”) apply to all visitors to, and Users of, the Platform, including individuals browsing the home page of the Platform without registering an Account. Where you register an Account as a Candidate or as an Employer, our SayHello Terms and Conditions for Candidates or our SayHello Terms and Conditions for Employers (as applicable) (each, “Category Terms”) apply in addition to, and are incorporated into, these General Terms. In the event of any conflict or inconsistency between these General Terms and the applicable Category Terms on a matter specific to that category of User, the Category Terms shall prevail to the extent of the conflict or inconsistency.

1.3 Please read these General Terms, together with the applicable Category Terms and our Privacy Policy (together, the “Legal Terms”), carefully, as they govern our relationship with you and your use of the Platform. By using the Platform, Users are agreeing to our Legal Terms, which may be updated by us from time to time in accordance with Clause 17 below.

2. ACCESSING THE PLATFORM

By accessing the Platform, you agree to comply with these General Terms, the applicable Category Terms, and our Privacy Policy (together, the “Legal Terms”). If you do not agree to our Legal Terms, do not access, view or otherwise use the Platform or register with us. You will need to register an Account with the Platform, as either a Candidate or an Employer, in order to use most of the Services described below. However, Users are free to browse limited public areas of the Platform, including the home page, without an Account.

3. DEFINITIONS AND SCOPE

3.1 We provide a technology platform enabling: (a) individuals to create a profile and search, discover and apply for job opportunities (each, a “Candidate”); and (b) companies, recruiters and other organisations to register, advertise vacancies and search for, discover, shortlist and contact Candidates (each, an “Employer”), together with related recruitment, matching, communication and support functionality (the “Services”).

3.2 “Candidate Content” means any CV, resume, profile information, video CV, photograph, employment history, qualification, or other content or personal data submitted by a Candidate to the Platform.

3.3 “Job Advertisement” means any vacancy, role or opportunity posted by an Employer on the Platform.

3.4 “Subscription” means the paid plan purchased by an Employer to access the Employer features of the Platform, as further described in our SayHello Terms and Conditions for Employers.

3.5 “CV Enhancement Service” means the optional paid service offered to Candidates, as further described in our SayHello Terms and Conditions for Candidates.

3.6 Save as expressly agreed by us in writing, we are not the employer, a recruitment agent or the decision-maker in respect of any recruitment process, and we do not guarantee any interview, offer or hire arising from use of the Platform. Employers and Candidates deal with each other directly and at their own responsibility and risk.

3.7 We have the right, in our sole and absolute discretion, to accept, reject, edit, suspend or remove any Job Advertisement, Candidate profile or other Content on the Platform, for any reason or for no reason at all.

3.8 We may change, add to, suspend or discontinue any feature of the Platform at any time, without notice, and shall have no liability to any User for doing so.

4. CONTENT AND USER POSTS

4.1 The Platform allows Candidates and Employers to post, transmit or upload (“Post”) content to the Platform, including profiles, CVs, video CVs, photographs, Job Advertisements, company information, reviews, ratings and messages (collectively, “Content”).

4.2 As a User, you warrant that any Content you Post is your original creation, or that you otherwise have the necessary rights to Post it, and further that:

(a) you either own or are the licensee of the Content, with the necessary rights and permissions to Post it and to grant the rights set out in the Legal Terms to us;

(b) we are entitled to make your Content available to other Users through the Platform, without any payment (including any royalty) to you or any third party; and

(c) you have obtained all necessary consents and releases from any individual who is identifiable in your Content, including in any photograph or video CV.

4.3 You must ensure that copyright and other intellectual property rights of third parties are respected, and you must not copy, paste, upload or otherwise integrate copyrighted content into your Post without the necessary rights to do so. You waive all moral rights you may have in your Content Posted on the Platform to the extent permitted under applicable law.

5. CONDUCT

5.1 We are committed to maintaining a lawful, respectful and professional environment for all Users. As a User, you warrant that you will not use the Platform to:

(a) submit Content that is unlawful, discriminatory, fraudulent, misleading, defamatory or infringing;

(b) misuse any Candidate's or Employer's personal or business data, or contact any User for any purpose unrelated to legitimate recruitment;

(c) scrape, harvest, copy, resell or otherwise systematically extract data from the Platform without our prior written permission;

(d) attempt unauthorised access to the Platform, interfere with its security, or introduce malicious code or conduct any form of cyber-attack;

(e) impersonate any person or entity, including our employees, or falsely state or misrepresent an affiliation with a person or entity; or

(f) circumvent any Subscription limit, credit system, or other access control on the Platform.

5.2 We operate a zero-tolerance policy towards harassment, abuse, discriminatory conduct, or any other unlawful behaviour by a User towards another User conducted through or in connection with the Platform. Where we determine, in our sole discretion, that a User has violated this Clause 5, we may take any or all of the following actions:

(a) immediate, temporary or permanent withdrawal of the User's right to access the Platform;

(b) immediate, temporary or permanent removal of any Content Posted by the User;

(d) legal proceedings against the User for compensation of all costs on an indemnity basis (including reasonable administrative and legal costs);

(e) disclosure of relevant information to law enforcement authorities as we reasonably believe necessary; or

(f) any other action we consider appropriate in the circumstances.

6. NO CIRCUMVENTION

6.1 Employers and Candidates must not use the Platform to identify a User with a view to concluding a recruitment or employment relationship outside the Platform in order to avoid the payment of Subscription fees, CV Enhancement Service fees, or any other fees payable to us.

6.2 Where we reasonably believe that an Employer and a Candidate have entered into, or intend to enter into, a recruitment or employment relationship as a direct or indirect result of an introduction made through the Platform, but have circumvented the Platform to avoid paying applicable fees, we reserve the right to invoice the Employer for the equivalent fee that would otherwise have been payable, and/or to suspend or terminate the relevant Account(s), without prejudice to any other right or remedy available to us.

7. REPORTING OFFENSIVE CONTENT OR INFRINGEMENT

We endeavour to keep the Platform free of harmful, offensive, unlawful or infringing Content. If you become aware of any Content on the Platform that you believe is harmful, offensive, discriminatory, or infringes your rights (including your intellectual property rights), please contact us via email at hello@say-hello.com with: (a) the location and details of the Content concerned; (b) a brief description of why you consider it harmful, offensive or infringing, together with a good-faith statement that the disputed use is not authorised; and (c) your contact details, including address, telephone number and email address.

8. CONFIDENTIALITY

We shall not share your confidential information or data with any third party, other than our affiliates and service providers reasonably required to operate the Platform (including payment processors), unless you have provided your express consent or we are required to do so by law. We maintain reasonable security standards and procedures designed to prevent unauthorised access to your confidential information. Employers and Candidates shall likewise keep confidential any information disclosed to them by another User through the Platform, and shall not use it for any purpose unrelated to the recruitment process for which it was shared.

9. INTELLECTUAL PROPERTY

9.1 We and our licensors own all right, title and interest in and to the Platform, including its software, design, look and feel, trademarks and SayHello-branded materials. Nothing in the Legal Terms transfers any such rights to any User.

9.2 Candidates and Employers retain ownership of the Content they submit to the Platform, subject to the licences granted to us under the Legal Terms.

10. THIRD-PARTY WEBSITES AND SERVICES

The Platform may contain links to, or integrate with, third-party websites or services that are unrelated to us (“Third-Party Websites”). We make no representation or guarantee as to the accuracy, legality or authenticity of any information contained on any Third-Party Website, and any use of or linking to a Third-Party Website is entirely at your own risk and may be subject to that Third-Party Website's own terms and policies.

11. SUSPENSION AND TERMINATION

11.1 We may, in our sole discretion, change, modify, suspend or discontinue, temporarily or permanently, the whole or any part of the Platform at any time, without advance notice, including where an Account has been inactive for a prolonged period. We further reserve the right to suspend or terminate any User's Account, without notice and without liability, where we consider, in our sole discretion, that:

(a) the User has violated the Legal Terms or applicable law; or

(b) the User's conduct poses a risk to the Platform, other Users, or us, or for any other reasonable ground.

11.2 A User may terminate their Account at any time by contacting us at hello@say-hello.com. Additional consequences of termination specific to Employer Subscriptions or Candidate services are set out in the applicable Category Terms.

11.3 On termination or suspension of an Account, access to the Platform will cease or be restricted and any outstanding fees remain payable. We shall not be liable to any User for any loss arising from suspension or termination carried out in accordance with the Legal Terms, and termination shall be without prejudice to any rights or obligations that arose prior to the date of termination.

12. LIMITATION OF LIABILITY AND INDEMNITY

12.1 While we provide rules for User conduct, we do not control or direct Users' actions on the Platform and are not responsible for Content Posted by Users, including the accuracy, legality or suitability of any Job Advertisement or Candidate profile. We are not responsible for the conduct, whether online or offline, of any User.

12.2 You expressly agree that, to the fullest extent permitted by applicable law, we shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including damages for loss of profits, goodwill, use, data, or any recruitment or employment opportunity, arising from your use of, or inability to use, the Platform, or from any error, mistake or inaccuracy in any Content, even if we have been advised of the possibility of such damages.

12.3 Your use of the Platform is at your sole risk. The Services are provided on an “as is” basis, and we disclaim all warranties, conditions or duties of every nature whatsoever except as expressly provided in the Legal Terms.

12.4 The Services on the Platform may be subject to limitations, delays and other problems inherent in the use of the internet and electronic communications. We shall not be responsible for any delays, failures, damages or losses resulting from such problems.

12.5 You agree to indemnify and hold us, our holding company, subsidiaries, affiliates, partners, officers, directors, agents and employees harmless from and against any claim or demand, including reasonable administrative and legal fees, arising out of your use of, or connection to, the Platform, any breach by you of the Legal Terms, your improper use of the Platform, or your breach of any law or the rights of any third party. This indemnification obligation shall survive termination, modification or expiration of the Legal Terms and your use of the Platform.

13. DISCLAIMERS

13.1 THE PLATFORM IS PROVIDED WITHOUT ANY WARRANTY OF ANY KIND. WE AND OUR RESPECTIVE AGENTS AND EMPLOYEES DISCLAIM ANY AND ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF TITLE, IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS, TO THE FULLEST EXTENT PERMITTED BY LAW, WITH RESPECT TO THE PLATFORM.

13.2 ALL INFORMATION ON THE PLATFORM, INCLUDING CANDIDATE PROFILES, CVs, VIDEO CVs, JOB ADVERTISEMENTS AND EMPLOYER INFORMATION, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND, TO THE FULLEST EXTENT PERMITTED BY LAW, WE DO NOT GIVE OR MAKE ANY WARRANTY OR REPRESENTATION OF ANY KIND, WHETHER EXPRESS OR IMPLIED, THAT SUCH INFORMATION IS CORRECT, ACCURATE, RELIABLE OR COMPLETE, THAT THE FUNCTIONS OF THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU EXPRESSLY AGREE THAT THE ENTIRE RISK AS TO THE QUALITY, PERFORMANCE AND ACCURACY OF THE PLATFORM AND ITS CONTENT IS ASSUMED SOLELY BY YOU.

13.3 WE DO NOT VERIFY AND MAKE NO REPRESENTATION, WARRANTY OR GUARANTEE AS TO THE IDENTITY, SUITABILITY, COMPETENCE, QUALIFICATIONS, EXPERIENCE, CONDUCT, RELIABILITY, AVAILABILITY OR RIGHT TO WORK OF ANY CANDIDATE, NOR AS TO THE SUITABILITY, LEGITIMACY, SOLVENCY OR CONDUCT OF ANY EMPLOYER OR THE ACCURACY OF ANY JOB ADVERTISEMENT. WE DO NOT CONDUCT BACKGROUND CHECKS, REFERENCE CHECKS, QUALIFICATION VERIFICATION OR RIGHT-TO-WORK VERIFICATION ON ANY CANDIDATE OR EMPLOYER, AND EACH EMPLOYER AND CANDIDATE IS SOLELY RESPONSIBLE FOR CONDUCTING ITS OWN DUE DILIGENCE, INTERVIEWS, VERIFICATIONS AND CHECKS PRIOR TO MAKING, OR ACCEPTING, ANY RECRUITMENT OR EMPLOYMENT DECISION.

13.4 WE ARE NOT THE EMPLOYER OF ANY CANDIDATE AND ARE NOT A PARTY TO ANY EMPLOYMENT RELATIONSHIP OR CONTRACT OF EMPLOYMENT FORMED BETWEEN A CANDIDATE AND AN EMPLOYER. WE DO NOT GUARANTEE ANY INTERVIEW, OFFER, HIRE OR OTHER EMPLOYMENT OUTCOME AND ACCEPT NO RESPONSIBILITY OR LIABILITY FOR ANY DISPUTE, CLAIM OR LOSS ARISING BETWEEN A CANDIDATE AND AN EMPLOYER, INCLUDING IN RELATION TO REMUNERATION, WORKING CONDITIONS, TERMINATION OR ANY OTHER TERM OF EMPLOYMENT.

13.5 WE DISCLAIM ANY AND ALL LIABILITY WITH RESPECT TO CONTENT MADE AVAILABLE THROUGH THE PLATFORM, INCLUDING CONTENT UPLOADED BY USERS AND ANY THIRD-PARTY CONTENT OR SERVICES.

14. WAIVER

Our failure to exercise or enforce any right, or to require performance of any obligation, under the Legal Terms shall not constitute a waiver of such right or provision. No waiver by either us or you of any breach of any term or provision of the Legal Terms, express or implied, shall operate as a waiver of another breach of the same or of any other term or provision. Headings in the Legal Terms are for convenience only and have no legal effect.

15. SEVERABILITY

If any term or condition contained herein is or becomes, under any applicable law, or is found by any court or competent administrative body to be illegal, invalid, prohibited or unenforceable, such term or condition shall be ineffective to the extent of such illegality, invalidity, prohibition or unenforceability, without invalidating the remaining Legal Terms, which shall remain in full force and effect. The Parties shall endeavour to give effect to the intention reflected in the affected provision insofar as legally possible.

16. ENTIRE AGREEMENT

These General Terms, together with the applicable Category Terms and our Privacy Policy, represent the entire understanding, and are the complete and exclusive statement of the mutual understanding, between you and us concerning your use of the Platform, and supersede all prior courses of dealing, written or oral understandings, discussions, representations, correspondence and communications relating to the matters covered by the Legal Terms. You agree that you have not relied upon, and will have no remedy in respect of, any warranty, statement or representation made by us unless expressly set out in the Legal Terms.

17. FUTURE AMENDMENTS

You agree that we have the exclusive right to amend the Legal Terms at any time, without notice, by posting the amended and restated Legal Terms on the Platform. You should review the Legal Terms regularly to ensure that you are aware of any changes we make. Your continued use of the Platform after amended Legal Terms are posted constitutes your agreement to, and acceptance of, the amended Legal Terms. If a User does not agree with the changes, they remain free to stop accessing, viewing or otherwise using the Platform.

18. RIGHT TO REFUSE SERVICE

We reserve the right to refuse any and/or all of our Services to any User, including declining any registration, Subscription, Job Advertisement or CV Enhancement Service order, without giving any reason or explanation, and shall not, under any circumstances, be held responsible for such refusal.

19. GOVERNING LAW AND DISPUTES

The Legal Terms shall be governed by and interpreted in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. Any dispute arising out of or in connection with the Legal Terms, including any question regarding its existence, validity or termination, shall be subject to the exclusive jurisdiction of the Courts of Emirate of Dubai.
